Jesse Delanoy serves as a business attorney and as an outside general counsel to many privately owned businesses, nonprofit entities and senior business executives, advising them on complex business planning and transactional issues. Mr. Delanoy draws on his extensive knowledge of business transaction law and business litigation, and offers firm clients more than 20 years of experience in providing strategic advice and planning on various matters. He often advises clients on matters such as business expansions, joint ventures, mergers, acquisitions, real estate transfers, and commercial financing.
He also provides sophisticated yet comprehensible legal and tax analysis on various transactional issues, and prepares agreements and other legal documents as required to close business deals. Mr. Delanoy routinely advises clients on corporate organizational matters, such as entity structuring, board of directors and corporate governance, business formation and governance, directors' fiduciary duties, as well as director and officer indemnification.

Mr. Delanoy was instrumental in designing and implementing a corporate reorganization of a large national nonprofit organization. He also represented the buyers of a business outside of Philadelphia in a multimillion dollar transaction, with principal responsibility for negotiating and drafting all transaction documents, coordinating the due diligence review and closing the deal.
Activities
Mr. Delanoy represents Offit Kurman as both a business attorney and as a member of the Baltimore-Washington Corridor Chamber. Mr. Delanoy previously served as a member of the board of directors of the Baltimore County Chamber of Commerce and the Pikesville Chamber of Commerce. He is also a past president of both the Pikesville Chamber of Commerce and the Optimist Club of Baltimore.
Publications/Speeches
Mr. Delanoy has delivered various speeches regarding business succession planning and the use of ESOPs as an exit strategy for business owners. He has also written articles on phantom equity deferred compensation arrangements for executives, the limitation of liability in the sale of a business, and general contract issues for business owners.
